Contribution Agreement --> signed between

1. Investors (LP's)
2. Investment Manager or AMC and
3. Trustee

This agreement has all the detailed specifications of the fund and the processes that will be carried out throughout the life cycle of the fund. It is a document with all the parties which is like a reference in case of any transaction or confusion during the life of the fund.

Private Placement Memorandum (PPM) --> Investment Manager has to submit this document to the SEBI (in case of India) or the governing body. This also has the details of the fund but these might not be as detailed as in the Contribution agreement.

Investment Management Agreement --> This agreement is signed between the Trustee and Investment Manager.
